Who we are
Rudy Works, based in Phoenix, Arizona.
The Site is operated by Rudy Works, based in Phoenix, Arizona ("Rudy Works," "we," "us"). Contact: hello@rudyworks.io.
Services and service agreements
Per-user plans, 12-month terms, billing, renewals and refunds.
Rudy Works builds workflow automations, intake systems, Jotform integrations, custom Google Workspace apps, websites and related support ("Services"). Services are provided only under a written proposal, order form, statement of work or service agreement signed or accepted by both sides (a "Service Agreement"). If a Service Agreement conflicts with these Terms, the Service Agreement controls. Unless a Service Agreement says otherwise:
- Fees. Plans are billed per Google Workspace user per month. Every user in the client's Workspace account counts, subject to the plan's minimum.
- Term. Plans run for an initial 12-month term, whether billed yearly or monthly, and renew for 12-month terms unless either side gives written notice at least 30 days before renewal. Renewal prices will not increase by more than 5% over the prior term.
- Billing. Yearly plans are billed in advance. Monthly billing is invoiced monthly for the full term. User counts are reviewed quarterly and may increase during a term; decreases take effect at renewal. Fees exclude taxes, which the client pays.
- Late payment. Invoices are due within 15 days. We may pause Services for accounts more than 30 days past due after written notice.
- Refunds. Fees are non-refundable except as required by law or stated in a Service Agreement.
- Early cancellation. If a client ends a plan before the end of its term for convenience, fees for the remainder of the term remain due.
Client responsibilities
Access, accounts, data, backups and legal compliance on your side.
Clients are responsible for:
- providing timely access, information and decisions we need;
- holding the rights to all data, content and accounts they give us access to, and for the lawfulness of that data and how it is collected;
- their Google Workspace, Jotform, website host and other third-party subscriptions, fees, settings, admin controls and backups;
- reviewing and testing deliverables before relying on them, and telling us promptly about problems;
- keeping their own passwords and admin credentials secure;
- complying with laws that apply to their business, including privacy, marketing (such as CAN-SPAM and TCPA), accessibility, employment and industry rules.
Third-party platforms
Google, Jotform, Wix and others set their own rules and limits.
Our work runs on platforms we do not own or control, including Google Workspace and Google Apps Script, Jotform, Wix, Proton and others. Those providers set their own terms, prices, features, quotas and limits (for example, Google limits how many emails and how much processing an Apps Script account can use per day). They may change, suspend or discontinue features at any time. We are not responsible for outages, changes, data loss or costs caused by third-party platforms, though we will work in good faith to adapt affected deliverables. Rudy Works is not affiliated with, endorsed by or sponsored by Google LLC, Jotform Inc., Wix.com Ltd. or Proton AG. All trademarks belong to their owners.
Regulated and sensitive data
No health or payment data without a signed agreement.
Unless a Service Agreement expressly says otherwise, our Services are not designed to store or process protected health information, payment card data, government ID numbers or other regulated data, and clients will not provide such data to us. We are not a HIPAA business associate unless we have signed a written business associate agreement with the client. Medical clients are responsible for confirming that their Google Workspace and other accounts are configured and contracted for their compliance obligations.
Estimates, pricing examples and savings claims
Prices and savings on the site are estimates, not guarantees.
Prices, savings calculators, stack snapshots, examples and comparisons on the Site are estimates for illustration only. Competitor prices are based on publicly listed prices at the time of writing and may change. Actual costs, savings and results depend on each client's tools, contracts, usage and decisions, and are not guaranteed. Nothing on the Site is legal, tax, accounting, financial or compliance advice.
Intellectual property
You own your data; code ownership passes after the first 12 months.
- Our Site. The Site, including its text, design, graphics, the Rudy character and logos, belongs to Rudy Works and may not be copied or reused without permission.
- Client data. Clients own their data and content. We receive only the rights needed to provide the Services.
- Deliverables. Unless a Service Agreement says otherwise, once a client has paid all fees for the initial 12-month term, the client owns the custom code and configurations we built specifically for them. Until then, the client has a license to use them while their plan is active and paid.
- Our tools. We keep all rights in our pre-existing and general-purpose templates, code libraries, methods and know-how, including improvements made while working for any client. Where these are part of a deliverable, the client receives a perpetual, non-exclusive license to use them as part of that deliverable.
Acceptable use of the Site
What you agree not to do on rudyworks.io.
You agree not to: use the Site unlawfully; submit false, misleading or someone else's information; send spam, malware or harmful code; try to gain unauthorized access to the Site or our systems; scrape or copy the Site in bulk; or interfere with the Site's operation.
Confidentiality
How both sides protect each other’s business information.
Each side will protect the other's non-public business information with reasonable care and use it only for the engagement, except information that is public, already known, independently developed, or required to be disclosed by law.
Disclaimer of warranties
The site is provided as is; services are performed professionally.
The Site and all content are provided "as is" and "as available." We will perform Services in a professional and workmanlike manner as described in the applicable Service Agreement. Except for that promise, and to the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Site or deliverables will be uninterrupted, error-free, or free of harmful components, or that any particular result or saving will be achieved.
Limitation of liability
Liability is capped at 12 months of fees.
To the fullest extent allowed by law:
- Rudy Works will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, even if we were told they were possible.
- Our total liability for all claims relating to the Site or the Services will not exceed the fees the client actually paid to Rudy Works for the Services giving rise to the claim during the 12 months before the event that caused the liability, or $100 if you have not purchased Services.
- These limits apply whatever the legal theory, and are a basic part of our pricing. Some places do not allow certain limits, so some of them may not apply to you.
Indemnification
Claims caused by your data or use are your responsibility.
You will defend and indemnify Rudy Works and its owners, contractors and agents against third-party claims, and related losses and reasonable legal fees, arising from your data or content, your use of the Site or deliverables, your violation of these Terms or of law, or your third-party accounts and subscriptions.
Termination
How access and services can end, and what survives.
We may suspend or end access to the Site for anyone who violates these Terms. Termination of Services is governed by the Service Agreement. Sections that by their nature should survive (including 7, 8, 10, 11, 12, 13, 15 and 16) survive termination.
Governing law and disputes
Arizona law, informal resolution first, Maricopa County courts.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules. Before filing any claim, each side agrees to try to resolve the dispute informally by written notice and good-faith discussion for 30 days. If it is not resolved, the dispute will be brought only in the state or federal courts located in Maricopa County, Arizona, and each side consents to their jurisdiction. To the extent allowed by law, each side waives any right to a jury trial and agrees that claims will be brought only on an individual basis, not as part of a class or representative action. Any claim must be filed within one year after it arises, unless the law requires a longer period.
General
Force majeure, notices, assignment and other standard terms.
- Force majeure. Neither side is liable for delays caused by events beyond its reasonable control, including platform outages, internet failures, natural disasters and government action.
- Electronic communications. You agree to receive notices and records electronically, including by email.
- Independent contractors. Rudy Works is an independent contractor, not an employee, partner or agent of any client.
- Assignment. You may not transfer these Terms without our consent. We may transfer them in a merger, acquisition or sale of our business.
- Severability and waiver. If any part of these Terms is unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy and any Service Agreement are the entire agreement on their subject.
- Changes. We may update these Terms by posting a new version with a new effective date. Changes do not affect a signed Service Agreement during its current term.
